Terms of Service

1. What ScopeLinq is

ScopeLinq ("ScopeLinq," "we") is a record-keeping tool for agreements. One person pastes what was said or written — a proposal, quote, estimate, contract, or thread. ScopeLinq drafts it into short lines, that person reviews them, and the other person confirms each line. The confirmed record is time-stamped and sealed with a cryptographic hash. Either side of an agreement may create a record — the person doing the work or the person paying for it. ScopeLinq is operated by Arciva.io, a software entity of The Pontaro Company.

2. Not legal advice, not a contract, not a signature

ScopeLinq records what two people confirmed. It is not legal advice, not a law firm, and not a substitute for a contract or for counsel. A confirmed record is not a contract, and confirming a line is not an electronic signature unless you and the other party choose to treat it as one. A record does not satisfy any law that requires a written contract to contain particular terms or to take a particular form. Whether a record has legal effect in your jurisdiction is outside our control and our competence. If the stakes are high, use a lawyer.

3. ScopeLinq is not a party

ScopeLinq is not a party to any agreement recorded in it. We do not perform, supervise, inspect or guarantee any work; we do not hold or transfer funds; we do not mediate or decide disputes. A record shows what two people confirmed. It does not make either of them do anything. Responsibility for the work, the payment and the outcome stays with the people who agreed to it.

4. Accounts and plans

Accounts are created by email sign-in; you are responsible for access to your email. Free includes unlimited scope records and has no time limit. Pro is a paid subscription at $29/month for the first 50 paying accounts (founding rate). The founding rate is held only while that subscription stays continuous: if it is cancelled or lapses and is later restarted, the then-current Pro rate applies. It covers one account and is not transferable between accounts or people. Confirming a record is always free for the person asked to confirm it, and they never need an account to do so.

5. The free check — on the website and through AI assistants

The check at scopelinq.com/check, and the same check made available to AI assistants through the Model Context Protocol, is provided for information only. It reads the text you paste, shows you what it read, and gives an opinion on how a request relates to the lines you confirm. It is not legal advice, not an interpretation of your contract, and not a substitute for professional advice. It does not create, alter, or evidence any agreement between you and anyone else. A ScopeLinq record exists only once both parties have confirmed it in the product. You are responsible for the text you submit, including for having the right to submit it, and for any decision you make after reading a result. When you use the check through an AI assistant, that assistant's provider's terms also apply to what you share with it. The check is provided as is, without warranty, and we may limit, suspend or change it at any time.

6. Acceptable use

You may not use ScopeLinq to send unsolicited bulk email, to impersonate another party, to record confirmations from someone who has not actually reviewed them, or for any unlawful purpose. We may suspend accounts that abuse the service or its email infrastructure.

7. AI-drafted lines

Lines are drafted by an AI model from the text you provide. You are responsible for reviewing every line before you send it, and the other party is responsible for reading every line before confirming it. A line we could not trace to your text is shown as such — treat it as a question, not a finding. Suggested defaults (deposit percentages, revision pricing, feedback windows) are proposals, not advice.

8. What "confirmed" means

A line is marked confirmed when someone with access to the email address the record was sent to opens the confirmation link and confirms it. We record the time and, at the moment of confirmation, the IP address and browser identifier, so the record can be checked later. We do not verify anyone's legal identity, authority, or capacity. Once every line is confirmed, the record is sealed with a SHA-256 hash of its contents and neither party can change it in our system. A later change is a new entry that both parties confirm separately; it does not edit the sealed record.

9. Your copies, and records in disputes

Confirmed records are retained so both parties can return to the confirmation link, and either party may export a copy. We make reasonable efforts to preserve records and recommend both parties keep their own copies. If a record becomes relevant to a dispute, it is yours to use; we do not testify to, interpret, or take a position on it. We respond to lawful requests for records as the law requires and, where the law permits, notify the account holder.

10. Third-party platforms

ScopeLinq generates shareable links. Compatibility with third-party platform messaging may vary by that platform's terms of service. You are responsible for complying with the terms of any platform where you share a link.

11. Disclaimers and liability

The service is provided "as is." To the maximum extent permitted by law, our total liability for any claim arising from the service is limited to the amount you paid us in the twelve months preceding the claim. This includes any claim arising from work performed or not performed, or payments made or not made, under an agreement recorded in the service.

12. Changes

We may update these terms; material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
